Please read these Terms of Service carefully before using Precedent. By accessing or using our Services, you agree to be bound by these terms. If you do not agree to these terms, you must not use our Services. These terms contain important information about limitations of liability, disclaimers, and dispute resolution.

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Precedent Pte. Ltd. ("Precedent," "Company," "we," "us," or "our") governing your access to and use of the Precedent website, applications, and services (collectively, the "Services").
By accessing or using our Services, creating an account, or clicking "I Agree" or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Legal Disclaimer, which are incorporated herein by reference.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to both you individually and that organization.
2. Definitions
The following definitions apply throughout these Terms:

3. Service Description
Precedent is a legal research and case analysis platform that uses artificial intelligence to help users understand how Singapore courts have historically ruled in cases similar to their situations. Our Services include:
Case Analysis: An AI-powered questionnaire that collects information about your legal situation and matches it against our database of Singapore court cases to identify relevant precedents and historical outcome patterns.
Case Database: A searchable collection of Singapore court judgments across employment, contract, and commercial law categories, with extracted legal principles and outcome data.
4. Not Legal Advice
Critical Disclaimer
PRECEDENT DOES NOT PROVIDE LEGAL ADVICE. The information and analysis provided through our Services are for informational and educational purposes only and do not constitute legal advice, legal opinions, or legal representation.
4.1 Nature of Our Services
Our Services provide historical legal research and AI-generated analysis based on past court decisions. The case analysis, similarity scores, confidence levels, and outcome patterns we provide are statistical observations about historical cases, not predictions or guarantees about how a court would rule in your specific situation.
4.2 No Attorney-Client Relationship
Your use of Precedent does not create an attorney-client relationship between you and Precedent or any of its employees, contractors, or affiliates. We are not a law firm, and our employees are not acting as your attorneys. The term "client" is not used on our platform when referring to direct users; you are a "user" of our Services.
4.3 Seek Professional Advice
You should always consult with a qualified attorney licensed in your jurisdiction before making any legal decisions or taking any legal action. Our Services are designed to help you understand the legal landscape and prepare for conversations with legal professionals, not to replace professional legal counsel.
4.4 AI Output Limitations
Our AI systems are designed to describe historical patterns and correlations from past cases. They do NOT:
- Recommend specific actions or strategies
- Predict outcomes for your specific case
- Provide valuations or assessments of claim worth
- Advise on settlement decisions
- Tell you what you "should" do
All outputs showing percentages, ranges, or patterns represent historical observations only. Phrases like "historical rate" or "observed in similar cases" describe what happened in past cases, not what will happen in yours. Courts assess each case individually based on its unique facts and circumstances.
4.6 Confidence Indicators
Our Services display confidence indicators and sample size information. Low confidence warnings indicate limited historical data. When you see warnings about small sample sizes, conflicting outcomes, or sparse data, you should interpret the analysis with particular caution. These warnings are provided to help you understand the limitations of the analysis.
4.7 Decision Friction Features
Certain high-risk features (such as settlement analysis, claim value ranges, and document drafting) include mandatory acknowledgments and cooling-off periods. These features are designed to prevent hasty decisions based on historical analysis alone. You must acknowledge the limitations before accessing these features.
5. Eligibility & Account Registration
5.1 Eligibility Requirements
To use our Services, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts; (c) not be prohibited from using the Services under applicable laws; and (d) provide accurate and complete registration information.
5.2 Account Registration
Some features of our Services require you to create an account. When registering, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security of your password and account; (d) accept responsibility for all activities under your account; and (e) notify us immediately of any unauthorized use.
5.3 Account Security
You are responsible for safeguarding your account credentials and for any activities or actions under your account. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.
6. Payment Terms
6.1 Free and Paid Services
We offer both free and paid features. All users can complete a consultation and receive a free preview of their analysis. Paid products (such as the Lawyer-Ready Case Kit and optional add-ons) provide the full analysis, evidence checklist, PDF export, and deeper research.
6.2 Pricing and Billing
Current pricing is displayed on our pricing page. All prices are in Singapore Dollars (SGD) unless otherwise specified. Purchases are one-time payments per consultation. We reserve the right to change our prices at any time; existing purchases are not affected.
6.3 Payment Processing
Payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees incurred. You agree to Stripe's terms of service in addition to these Terms.
6.4 Refunds
All purchases of digital products (including Case Kits and add-ons) are final once the product has been delivered. Because the full analysis and case citations are made available immediately upon purchase, we do not offer general refunds.
If your product was not delivered due to a technical error (e.g., the analysis failed to generate or the system experienced an outage), please contact us and we will either resolve the issue or provide a full refund. Nothing in these Terms excludes or limits any statutory rights you may have under applicable consumer protection law, including the Australian Consumer Law.
6.6 Taxes
All fees are exclusive of applicable taxes (including GST). You are responsible for paying any taxes associated with your use of the Services, except for taxes based on our net income.
7. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
7.1 Prohibited Activities
Misrepresentation: Use the Services to misrepresent yourself as a lawyer, provide legal advice to others, or hold yourself out as providing legal services when you are not qualified to do so.
Unauthorized Access: Attempt to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services.
Data Scraping: Use automated means (bots, scrapers, crawlers) to access, collect, or copy content from the Services without our written permission.
Interference: Interfere with or disrupt the Services, servers, or networks, including transmitting viruses, malware, or other harmful code.
Circumvention: Attempt to bypass, disable, or circumvent any security features, usage limits, or access controls.
Illegal Use: Use the Services for any illegal purpose or to facilitate illegal activities.
Abuse: Harass, abuse, or harm other users, our staff, or third parties through the Services.
7.2 Usage Limits
We may impose reasonable usage limits on the Services (such as the number of free consultations). You agree not to exceed these limits or attempt to circumvent them. We reserve the right to suspend or terminate accounts that consistently exceed their usage limits.
8. Intellectual Property Rights
8.1 Our Intellectual Property
The Services, including all content, features, functionality, software, algorithms, designs, graphics, logos, and trademarks, are owned by Precedent or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.
8.2 Case Database
While individual court judgments may be public records, our compilation, organization, analysis, and presentation of case data, including extracted legal principles, outcome classifications, and similarity algorithms, constitute our proprietary intellectual property.
8.3 License to Use Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to: (a) resell or commercially exploit the Services; (b) modify or create derivative works; (c) reverse engineer our software or algorithms; or (d) use our trademarks without permission.
8.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Services, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate such feedback into our Services without any obligation to you.
9. User Content
9.1 Your Content
You retain ownership of all content you submit through the Services ("User Content"), including your questionnaire responses, situation descriptions, and uploaded documents. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze your content solely for the purpose of providing and improving the Services.
9.2 Content Representations
You represent and warrant that: (a) you own or have the right to submit all User Content; (b) your User Content does not violate any third party's rights; (c) your User Content is accurate and truthful to the best of your knowledge; and (d) your User Content does not contain malicious code or harmful content.
9.3 Anonymized Data
We may create anonymized, aggregated data from User Content that cannot reasonably be used to identify you. We own such anonymized data and may use it for any purpose, including research, analytics, and service improvement.
10. Third-Party Services
Our Services may integrate with or contain links to third-party websites, services, or content. These third-party services are not under our control, and we are not responsible for their content, privacy practices, or terms. Your use of third-party services is at your own risk and subject to their respective terms and policies.
Third-party services we integrate with include: Stripe (payment processing), authentication providers (OAuth login), and AI service providers (natural language processing). By using features that rely on these services, you agree to their respective terms.
11. Disclaimers
Important Disclaimers
11.1 "As Is" Basis
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2 No Guarantee of Accuracy
We do not warrant that: (a) the Services will be uninterrupted, secure, or error-free; (b) the case analysis or similarity scores will be accurate, complete, or reliable; (c) the results will meet your expectations or requirements; (d) any errors will be corrected; or (e) the Services will be compatible with your systems.
11.3 AI Limitations
Our AI systems have inherent limitations. They may produce inaccurate, incomplete, or inappropriate outputs. AI-generated analysis should not be relied upon as the sole basis for legal decisions. The confidence scores and outcome patterns are statistical observations, not predictions or guarantees.
11.4 Case Database Limitations
Our case database, while extensive, does not include all Singapore court decisions. Case information may be incomplete, outdated, or contain errors. Court decisions may have been appealed, overturned, or distinguished in ways not reflected in our database.
12. Limitation of Liability
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRECEDENT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
12.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD) (S$100).
12.3 Legal Outcomes
WE ARE NOT LIABLE FOR ANY LEGAL OUTCOMES, COURT DECISIONS, SETTLEMENTS, OR OTHER RESULTS IN YOUR LEGAL MATTERS. OUR SERVICES PROVIDE HISTORICAL INFORMATION AND ANALYSIS, NOT PREDICTIONS OR GUARANTEES OF FUTURE OUTCOMES.
13. Indemnification
You agree to defend, indemnify, and hold harmless Precedent, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your User Content; or (e) your negligence or willful misconduct.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Services will immediately cease.
14.2 Termination by Us
We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, including if we reasonably believe that: (a) you have violated these Terms; (b) you have engaged in fraudulent or illegal activity; (c) your continued use poses a risk to us or other users; or (d) we are required to do so by law.
14.3 Effect of Termination
Upon termination: (a) all licenses granted to you will terminate; (b) you must cease all use of the Services; (c) we may delete your account and User Content (subject to our data retention policies); and (d) any outstanding fees will become immediately due. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and dispute resolution.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
15.2 Mediation
If informal resolution is unsuccessful, either party may refer the dispute to mediation administered by the TADM / ECT in accordance with its mediation rules. The mediation shall be conducted in Singapore in the English language.
15.3 Arbitration
If mediation is unsuccessful, any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in Singapore in accordance with applicable arbitration rules. The arbitration shall be conducted in Singapore in the English language by a single arbitrator.
15.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
16. Governing Law
These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Subject to the dispute resolution provisions above, the courts of Singapore shall have exclusive jurisdiction over any disputes.
17. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last Updated" date; (b) notify you by email if you have an account; and (c) display a prominent notice on our website. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and Precedent regarding the Services and supersede all prior agreements and understandings.
18.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by us.
18.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
18.5 Force Majeure
We will not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet service failures.
